These terms govern your use of this site and any order you place. This is a working draft prepared internally. It has not been reviewed by an attorney and is not legal advice.
Accounts and orders are for people 18 years of age or older. Access to the site requires confirming your date of birth and acknowledging the research-use restriction. Providing false information at that step is a breach of these terms and grounds for cancelling an order and closing an account.
Everything sold here is supplied as a research material for laboratory use only. It is not a drug, it is not approved by the FDA for any use, and it is not for human or veterinary consumption. The full restriction is set out on our research use policy, which forms part of these terms. If those two documents conflict, the research use policy governs.
Submitting an order is an offer to buy, not a completed contract. We accept an order when we ship it. Until then we may decline or cancel any order in whole or in part — for example where an item is out of stock, where a listing contained an error, where payment could not be verified, or where we have reason to believe the material is intended for use in a person or an animal. If we cancel after payment, we refund in full.
We may limit quantities per order, per account, or per address.
All prices are shown in United States dollars and are exclusive of tax, which is calculated at checkout where applicable. Shipping is charged separately and shown before you confirm.
Prices can change at any time. The price that applies to your order is the one displayed when you place it. If a listing shows an obviously incorrect price, we may cancel the order rather than honour the error; you will be told, and you will not be charged.
Payment is taken through Stripe or PayPal. We do not receive or store your full card number.
Title to and risk of loss in the goods pass to you on delivery to the address you gave us. Once a shipment has been delivered, storage and handling are your responsibility, including maintaining any storage conditions stated on the product page or the packaging.
Do not use this site to break the law, to misrepresent who you are, to interfere with its operation, or to scrape, probe, or overload it. Do not resell or redistribute material bought here for administration to people or animals. Do not submit reviews or other content that is false, that impersonates someone, or that makes a therapeutic or performance claim about a product; we remove such content.
You are responsible for activity under your account and for keeping your sign-in secure. Tell us promptly if you think someone else has used it. We may suspend or close an account that breaches these terms.
Materials are supplied as described in the listing and accompanying analytical data, and otherwise without warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. We do not warrant that a material is suitable for your specific application; evaluating suitability is your responsibility.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or the cost of substitute goods. Our total liability arising out of or relating to an order is limited to the amount you paid for that order. Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
We are not liable for any consequence of using a material in a way this site prohibits.
You agree to indemnify us against claims, losses, and reasonable legal costs arising from your breach of these terms, your misuse of a material, or your failure to comply with laws that apply to you.
We may update these terms. The version in force for an order is the one published when the order was placed. Material changes will be noted on this page with a revised date.
These terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws rules, and the state and federal courts located in Texas have exclusive jurisdiction. [TODO: counsel to confirm — governing law, venue, arbitration and class-action waiver, and consumer-protection carve-outs for out-of-state and international buyers are all unconfirmed.]
